We are looking for a confident and dynamic Commercial solicitor to join our in-house Britvic Legal team to support the Head of Legal for IP & our Beyond the Bottle business unit.

 

In this exciting, new and business critical role, you will help lead and partner the business in achieving its Mission 2025 strategy (in particular it’s innovation and transformational Beyond the Bottle targets) by identifying opportunities and risks (legal, commercial & IP) and by delivering clear and practical strategies and solutions.

 

You shall be advising the Beyond the Bottle Business Unit on a variety of interesting and often complex commercial legal matters supporting its focused and agile ways of working as Britvic looks to cause disruption in the Water & Water plus areas, and build a new revenue stream for Britvic.

 

In addition, you shall support the Head of Legal – IP & Beyond the Bottle to provide contentious and non-contentious IP advice (with additional support from external legal advisors) in all Britvic markets. This will include contractual aspects of the creation, protection, defence, enforcement and exploitation of IP rights, together with supporting the management of Britvic’s IP portfolio globally. With your experience from either a private practice firm or in-house you will have an eye for identifying the opportunities & risks (legal, commercial & IP) and help deliver clear and practical strategies and solutions to a varied range of stakeholders.

 

The role will be split equally between Commercial and Intellectual Property work however we are open to those who may not have in-depth IP experience but a solid background in Commercial Law is a must.

 

Key Responsibilities:

 

•  You will be drafting, reviewing and negotiating a number of commercial contracts (including customer contracts, supplier contracts, distributor agreements, trial agreements, licences, non-disclosure agreements) to best protect the commercial and legal interests of the business and create added value.

 

•    Formulating, drafting and negotiating a range of agreements in relation to development of new products from concept to launch such as licence agreements, commercial supply agreements, confidentiality agreements, exclusivity agreements, trial agreements, and research and development agreements;

 

•    Support in the capture and registration of intellectual property rights. 

 

•    Ensure compliance of marketing materials and communications with internal and external  codes, guidance and regulations.

 

•    Support to ensure legal compliance across the business unit with relevant laws and regulations (e.g. product safety laws, data protection laws). 

 

•    Providing training to stakeholders on legal and compliance matters. 

 

•    Monitor and manage risk in relation to all aspects of advertising and marketing.

 

•    Continually improve standard contracts and guidance to reflect improvements and changes to processes and legislation to ensure the business unit can operate on a “self-service” basis where appropriate.

 

•    Progress, defend and manage disputes and litigation including settlement. 

 

•    Safe guarding Britvic’s position in all IP related agreements;

 

•    Advising of the terms of existing IP–related agreements entered into by Britvic and third-party businesses;

 

•    Providing advice, in consultation with the relevant external support, to gain optimal protection of Britvic’s brands and products;

 

•    Ensuring non-infringement of third parties IP via clearance, navigation and/or risk mitigation. PLC/GB Ad Hoc Matters

 

•    Supporting ad hoc PLC matters where required including property, consumer care support, company secretarial, insolvency, support of the regulatory team and support of supply chain and technical departments; and

 

•    Supporting Britvic’s compliance agenda in relation to the implementation and monitoring of certain policies.

 

Knowledge, Skills & Experience Required:

 

Experience

•    English law qualified solicitor (NQ – 5PQE)
•    Strong academic record
•    Corporate/commercial law experience from a leading law firm or in-house
•    Excellent knowledge of contract and commercial law- must be able to pick up/create a commercial contract and run with this end to end.
•    IP experience preferred but not essential

•    Good analytical skills with the ability to identify the key legal and business considerations and provide targeted, pragmatic and solutions-driven advice and recommendations
•    Well organised and able to prioritise conflicting pressures and multiple stakeholders
•    Business orientated with a desire to influence and proactively engage with all areas of the business
•    Acts with the highest levels of integrity and in accordance with ethical, legal and compliance standards
